# Terms of Service — Reinstall Work

These terms govern your use of the Reinstall Work website (reinstall.work) and our software and systems services. By using our services, you agree to these terms.

Your engagement may also be subject to a separate Service Agreement. In the event of any conflict between these Terms of Service and your Service Agreement, the Service Agreement governs.

## Services

### Engagement structure

Reinstall Work sells its services in monthly blocks. There are two types:

- **Build Months** — months in which new systems are being built or rolled out. Includes strategy and planning sessions, development work, build progress meetings, training and feedback sessions, system testing, and documentation. A Build Month includes everything in a Maintenance Month.
- **Maintenance Months** — months in which existing systems are monitored and supported. Includes proactive system monitoring, updates and patches, support requests, strategy and planning sessions, and prep work for upcoming Build Months.

You are billed for one type or the other in a given month, never both. Scope and priorities are agreed in writing before each billing period.

### Discovery

Discovery calls are provided at no charge. Any resulting recommendation is a proposal, not a commitment — detailed scoping occurs at the start of the first Build Month.

### Payment terms

- Build Months start at $5,000/month. Maintenance Months start at $2,500/month. Final pricing is confirmed in writing before the engagement begins.
- The default agreement and billing schedule is month-to-month. Clients who commit to a quarterly schedule receive a 10% discount.
- Payment is billed upfront and due before work begins for each billing period.
- Payments are processed by a third-party payment processor (card or bank transfer).

### Non-renewal and restarting

- Either party may choose not to renew before the next billing period. Work halts at the end of the last paid period.
- On non-renewal, services stop and all code and account credentials are handed over to you.
- No refunds are issued for completed billing periods.
- **Restarting.** If you stop service and later wish to resume, a restart fee equal to one Maintenance Month is due before work resumes. This covers taking back custody of code and accounts and re-establishing context. Capacity is limited and resuming is not guaranteed.

### Support

Support is included in every active Build Month and Maintenance Month. **No support is provided outside an active monthly or quarterly service agreement.** There is no post-engagement support window. On non-renewal, services stop and code and accounts are handed over.

## Intellectual property

### What you own

You own all custom code, configuration, data, processes, documentation, and deliverables created specifically for your engagement, along with the accounts and infrastructure they run on. At the end of an engagement, all code and account credentials are handed over to you.

### What we own

Reinstall Work uses internal software systems, tooling, templates, and frameworks of its own to deliver client work. These, including any general-purpose improvements made to them during or after an engagement, remain the property of Tyler Berggren / Reinstall Work. Where any such internal tooling is incorporated into the systems we build for you, you receive a perpetual, royalty-free, non-exclusive, non-transferable license to continue using it within your business operations.

### Pre-existing IP

Any tools, frameworks, libraries, or code that existed before your engagement remains the property of its original owner. Where pre-existing IP is incorporated into your deliverables, you receive a perpetual, royalty-free, non-exclusive, non-transferable license to use it within your business operations.

## SMS communications

The systems we build and operate send transactional SMS messages on behalf of our clients. These include:

- One-time verification codes for authentication
- Workflow notifications (approvals, alerts, status updates)
- Scheduled reminders configured by the client

**No marketing or promotional messages are sent.**

### How recipients are added

Clients add recipient phone numbers to the systems we build or operate for them. These are contacts with whom the client's business has an existing relationship — customers, employees, vendors, or other parties who provided their phone number in the normal course of business (service calls, intake forms, CRM records, verbal consent). Clients agree to send SMS only to individuals who have consented to receive transactional communications from their business.

### Opt-out

Reply **STOP** to any message to unsubscribe. You will receive a single confirmation and no further messages. Reply **HELP** for support information, or contact tyler@reinstall.work.

### Carrier and rate information

Messages are delivered via a third-party SMS provider. Message frequency varies by configuration. Standard message and data rates may apply. Major US carriers are supported. Carriers are not liable for delayed or undelivered messages.

## Warranty disclaimer

The services and any systems delivered are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that any system will be uninterrupted, error-free, or free of harmful components.

## Indemnification

You agree to indemnify and hold harmless Tyler Berggren / Reinstall Work from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) content or data you provide to us or to the systems we build or operate for you, (b) your violation of these terms, or (c) your violation of any third-party rights.

## Limitation of liability

To the maximum extent permitted by law, Reinstall Work's total liability for any claim arising from our services is limited to the fees actually paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or business interruption.

This limitation does not apply to liability arising from fraud, willful misconduct, or breach of confidentiality obligations.

## Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. This includes business processes, system access, financial data, and strategic plans. This obligation survives the end of the engagement.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party, (b) was already known to the receiving party prior to disclosure, (c) is received from a third party without restriction on disclosure, or (d) is required to be disclosed by law, regulation, or court order, provided the disclosing party is given reasonable prior notice where legally permitted.

## Dispute resolution

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws provisions. Any dispute arising from these terms or our services will be resolved through good-faith negotiation first. If negotiation fails, disputes will be resolved through binding arbitration administered under the rules of the American Arbitration Association.

## Force majeure

Neither party is liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, internet or infrastructure outages, government actions, pandemics, or third-party service provider failures. The affected party will provide prompt notice and make commercially reasonable efforts to resume performance.

## Changes to these terms

We may update these terms from time to time. Material changes will be communicated via email to active clients at least 30 days before taking effect. Continued use of our services after changes take effect constitutes acceptance.
